Terms & conditions of sale

These terms and conditions ("Terms") apply to every quotation, order and sale of products by VictoryTech ("VictoryTech", "we", "us") to the customer named on the quotation or order ("Buyer", "you"). By placing an order you accept these Terms. Any different or additional terms in your purchase order do not apply unless we agree to them in writing.

1. Quotations

Quotations are valid for the period stated on the quote, or 3 business days if no period is stated. Because availability in the open market changes quickly, all quotations are subject to prior sale and to confirmation of stock at the time of order.

2. Orders and acceptance

An order is binding only when we confirm it in writing (including by email). Orders for non-cancellable, non-returnable (NCNR) parts, custom sourcing and last-time buys cannot be cancelled or changed once confirmed.

3. Prices and payment

Prices are in US dollars and exclude taxes, duties, tariffs, shipping and bank charges unless stated otherwise. Payment is due before shipment by wire transfer or credit card, unless your company has an approved credit account with net terms. Overdue balances may accrue interest at the maximum rate permitted by law, and we may suspend shipments until payment is received.

4. Shipping, title and risk

Unless agreed otherwise, all shipments are FOB Fort Lauderdale, Florida (FOB shipping point). Title and risk of loss pass to you when the goods are handed to the carrier. Delivery dates are estimates. We are not liable for delays caused by carriers, customs or events outside our control.

5. Inspection and claims

Please inspect each shipment on arrival. Claims for shortages, wrong parts or visible damage must be reported in writing within 5 business days of delivery, with the packing list and photos. Products must stay in their original packaging and condition while a claim is reviewed.

6. Returns

Returns require a Return Material Authorization (RMA) number issued by us before the products are sent back. Products must be returned in the original, unopened packaging and condition, with the moisture barrier bag intact where applicable. NCNR products cannot be returned except under the warranty below.

7. Limited warranty

We warrant for 12 months from shipment that products are the parts described on our invoice and are free from defects in materials and workmanship when delivered. If a product fails this warranty, we will, at our option, replace it, repair it or credit or refund the purchase price. This warranty does not cover damage caused by improper storage, handling, installation, ESD, modification or use outside the manufacturer's specifications. The manufacturer's original warranty does not pass through to you because VictoryTech is an independent distributor. EXCEPT AS STATED IN THIS SECTION, PRODUCTS ARE SOLD WITHOUT ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of liability

Our total liability for any claim relating to an order is limited to the amount you paid for the products that gave rise to the claim. We are not liable for indirect, incidental, special or consequential damages, including lost profits, production downtime, rework or recall costs.

9. Use of products

Unless we agree otherwise in writing, products are not sold for use in life-support devices, nuclear facilities or other applications where failure could cause death or serious injury. You are responsible for confirming that the products are suitable for your application.

10. Export compliance

Products may be subject to US export control and sanctions laws. You agree to comply with those laws and not to export, re-export or transfer products to prohibited countries, persons or end uses. We may cancel any order that we believe would violate these laws.

11. Force majeure

We are not responsible for failure or delay in performance caused by events beyond our reasonable control, including supplier allocation, natural disasters, epidemics, war, labor disputes, government action and transportation disruptions.

12. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Broward County, Florida have exclusive jurisdiction over any dispute.

13. Changes

We may update these Terms from time to time. The version posted on this page when your order is confirmed applies to that order.
